SERVICE AGREEMENT

This Service Agreement (“Agreement”) is entered into on this __ day of __, 20 (“Effective Date”), by and between:

WHEREAS www.thetechjournalist.com is an online media organization focused on technology and its impact on businesses and offers web development services to clients;

AND WHEREAS the Client wishes to engage www.thetechjournalist.com to provide web development services as per the terms and conditions set forth below;

NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, the parties agree as follows:

1. Services Provided

www.thetechjournalist.com agrees to provide the following web development services to the Client:

  • Package 1 – Basic: ₹5,000/1 year or ₹8,000/2 years (WordPress CMS)
  • Package 2 – Advance: ₹15,000/1 year or ₹25,000/2 years (Joomla CMS)
  • Package 3 – Professional: ₹50,000/1 year or ₹90,000/2 years (Drupal CMS)

The specific details of each package, including the scope of work, features, and any additional services, shall be outlined in an attached Statement of Work (SOW).

2. Term and Termination

  • Term: The term of this Agreement shall commence on the Effective Date and shall continue for the duration of the selected service package unless terminated earlier in accordance with this Agreement.
  • Termination: Either party may terminate this Agreement by providing thirty (30) days written notice to the other party. In the event of early termination by the Client, the Service Provider shall be entitled to payment for all services rendered up to the date of termination.

3. Payment Terms

  • Fees: The Client agrees to pay www.thetechjournalist.com the fees specified for the selected service package as per the attached SOW.
  • Payment Schedule: Payment shall be made in full at the commencement of services, or as otherwise agreed upon in writing by both parties.
  • Late Payments: Any payments not made within thirty (30) days of the due date will be subject to a late fee of 5% of the total amount due.

4. Client Responsibilities

  • The Client shall provide all necessary content, materials, and information required by www.thetechjournalist.com to complete the web development services.
  • The Client agrees to cooperate with www.thetechjournalist.com in providing feedback and approvals in a timely manner.

5. Confidentiality

  • Both parties agree to maintain the confidentiality of all proprietary and confidential information disclosed during the course of this Agreement.
  • This obligation of confidentiality shall survive the termination of this Agreement.

6. Intellectual Property Rights

  • All intellectual property created by www.thetechjournalist.com during the course of this Agreement shall remain the property of www.thetechjournalist.com until full payment is received.
  • Upon full payment, the Client shall be granted a non-exclusive, non-transferable license to use the developed website.

7. Warranties and Disclaimers

  • www.thetechjournalist.com warrants that the services provided shall be performed with reasonable care and skill.
  • Except as expressly provided herein, www.thetechjournalist.com makes no other warranties, express or implied, and shall not be liable for any damages resulting from the use of the developed website.

8. Limitation of Liability

  • In no event shall www.thetechjournalist.com be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with this Agreement.

9. Dispute Resolution

  • In the event of any dispute arising out of or in connection with this Agreement, the parties agree to first attempt to resolve the dispute through good-faith negotiations.
  • If the dispute cannot be resolved through negotiations, the parties agree to submit the dispute to mediation before resorting to litigation.

10. Governing Law

  • This Agreement shall be governed by and construed in accordance with the laws of India.

11. Entire Agreement

  • This Agreement constitutes the entire understanding between the parties and supersedes all prior discussions, agreements, or understandings of any kind.

12. Amendments

  • Any amendments to this Agreement must be made in writing and signed by both parties.
